This End-User License Agreement ("Agreement") is between DevX Group LLC, a California limited liability company ("Licensor," "we," "us"), and the individual or entity that purchased or downloaded Transcribr Flow ("Licensee," "you"). Read it before installing or using the software. By installing or using Transcribr Flow, you accept this Agreement.

Scope

This Agreement covers direct purchases of Transcribr Flow from transcribr.devxgroup.io. If you downloaded Transcribr Flow from the Apple App Store, your use is governed by Apple's Licensed Application End User License Agreement instead of this document.

This Agreement should be read alongside the Terms of Service, which govern use of the website and your relationship with DevX Group LLC more broadly.

Grant of license

Subject to your compliance with this Agreement, DevX Group LLC grants you a perpetual, non-exclusive, non-transferable, non-sublicensable license to install and use one copy of Transcribr Flow on up to three (3) Apple Silicon Macs that you own or primarily use for your personal or professional work.

This license is for you personally. You may not transfer it to another person or entity, even if you sell one of the Macs you activated it on. If you need to deactivate a Mac and activate a new one, contact support@devxgroup.io.

Updates within the current major version

All releases within the major version you purchased are included at no additional charge. For example, if you bought a 1.x license, every subsequent 1.x release is free. Major version increments are defined as a change to the first digit of the version number (e.g., from 1.x to 2.x).

Future major versions

DevX Group LLC may offer future major versions (e.g., 2.x) as a separate paid product, as a paid upgrade at a discount for existing licensees, or at no charge. The decision is made on a per-version basis. Nothing in this Agreement obligates DevX Group LLC to provide every future major version for free. We commit to treating existing licensees fairly and will communicate upgrade options clearly when a new major version ships.

Optional subscriptions

The license granted here is perpetual. It is not contingent on any subscription, and you are not required to pay any recurring fee to continue using the version of Transcribr Flow you have installed.

DevX Group LLC may, from time to time, offer optional paid subscriptions in two forms:

Update subscriptions. A recurring fee that entitles you to install future major versions of Transcribr Flow (for example, 2.x and beyond) and the minor and bug-fix releases that follow within those major versions, for as long as the subscription is active.
Feature subscriptions. A recurring fee that unlocks add-on capabilities that depend on server-side infrastructure (for example, cloud-hosted AI models, cloud sync, meeting notes, or team collaboration features). These are unavailable in the base license regardless of version.

Both types of subscription are opt-in. We will never auto-convert a one-time license into a recurring charge. If you do not purchase a subscription, the version of Transcribr Flow you currently own continues to work without restriction.

If you start a subscription and later cancel or do not renew, the following applies:

Update subscription. Major versions that were released to you during your active subscription remain installed and fully functional. Major versions released after your subscription lapses will not be made available to you. You may resume the subscription later to catch up; we do not charge back-fees for months you skipped.
Feature subscription. Subscription-only features become unavailable at the end of the current billing period. Data you created using those features (where stored locally) remains on your device.
In both cases, your perpetual license to the base major version (the one you originally bought) remains valid forever.

Pricing, billing cadence, auto-renewal, cancellation, and refund rules for any subscription live in the Terms of Service and are disclosed at checkout before you authorize a recurring payment. Subscriptions are billed by Lemon Squeezy as merchant of record.

Restrictions

You may not:

Redistribute, resell, rent, lease, sublicense, or otherwise transfer Transcribr Flow or your license key to any third party.
Reverse-engineer, disassemble, decompile, or attempt to derive source code from Transcribr Flow, except to the extent that applicable law expressly permits such activity despite this restriction.
Bypass, disable, or circumvent the license key activation system or any other technical protection measure.
Use Transcribr Flow for any purpose that violates applicable law or the Terms of Service.
Create or distribute derivative works of Transcribr Flow.

Ownership and intellectual property

DevX Group LLC retains all right, title, and interest in Transcribr Flow, including all patents, copyrights, trademarks, and trade secrets. This Agreement grants you a license to use the software, not ownership of it. All rights not expressly granted here are reserved.

Third-party components

Transcribr Flow includes open-source components distributed under their own licenses (such as MIT, Apache 2.0, and BSD variants). These components remain subject to their respective license terms. Your rights under those open-source licenses are unaffected by this Agreement.

Privacy

Transcribr Flow processes audio entirely on your device. No audio, transcripts, or dictation history is sent to DevX Group LLC servers. See our Privacy Policy for the full picture of what data we do and don't collect.

Termination

This license is effective until terminated. It terminates automatically if you materially breach any term of this Agreement and fail to cure that breach within 30 days of written notice from DevX Group LLC. It also terminates if a purchase is refunded in accordance with the Refund Policy.

On termination, you must delete all copies of Transcribr Flow from your Macs. Sections covering ownership, restrictions, disclaimers, limitation of liability, and governing law survive termination.

Disclaimer of warranties

TRANSCRIBR FLOW IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEVX GROUP LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE FREE OF ERRORS OR DEFECTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEVX GROUP LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF DATA, PROFITS, REVENUE, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DEVX GROUP LLC'S TOTAL LIABILITY TO YOU FOR ANY CLAIM UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR YOUR TRANSCRIBR FLOW LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Governing law

This Agreement is governed by the laws of the State of California, USA, excluding conflict-of-law principles. Disputes will be resolved as described in the Terms of Service.

Entire agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and DevX Group LLC regarding Transcribr Flow. It supersedes any prior or contemporaneous understandings on this subject.

Severability

If any provision of this Agreement is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
