Who we are

Transcribr Flow is a product of DevX Group LLC, a California limited liability company based in San Diego, California, USA. When these terms say "we," "us," or "our," that means DevX Group LLC. When they say "you," that means the person reading and accepting them.

What these terms cover

These terms govern your use of the Transcribr Flow website at transcribr.devxgroup.io and any direct (non-App Store) purchase of Transcribr Flow. If you bought Transcribr Flow on the Apple App Store, your use of the app is also governed by Apple's Standard End User License Agreement. These terms do not replace that EULA for App Store buyers.

Eligibility

You must be at least 18 years old to purchase a license. If you're between 13 and 17, you may use the app with a parent or guardian's consent and supervision. You represent that your use of Transcribr Flow complies with all export control laws and regulations. You may not use the software if you are located in, or are a national of, any country subject to U.S. embargo or OFAC sanctions.

License and account

A direct purchase grants you a perpetual, non-exclusive, non-transferable license to install and run Transcribr Flow on up to three (3) Apple Silicon Macs that you own or primarily use. License keys are tied to the email address you used at purchase. You may not sell, transfer, or sublicense your key to another person. Full terms for direct licenses are in the End-User License Agreement.

Acceptable use

Use Transcribr Flow only with audio you have the right to transcribe. URL transcription is provided for content you own or have a license to process. You are responsible for complying with the terms of any third-party platform you use alongside the app.

You may not use Transcribr Flow to:

Record or transcribe conversations without the knowledge or consent of the other parties, where consent is required by law.
Conduct illegal surveillance or monitoring of any person.
Infringe any third party's copyright, trademark, privacy, or other rights.
Violate any applicable local, state, national, or international law.

Subscriptions and additional services

The base purchase of Transcribr Flow is a one-time perpetual license, not a subscription. You are not required to pay anything recurring to keep using the version of the software you installed.

DevX Group LLC may, from time to time, offer two kinds of optional paid subscription. Both are sold separately from the perpetual base license and require your express opt-in:

Update subscriptions— recurring access to future major versions of Transcribr Flow (for example, 2.x and beyond) and the minor releases that follow within those major versions, for as long as the subscription is active.
Feature subscriptions— recurring access to add-on capabilities that depend on infrastructure we operate (for example, cloud sync, cloud-hosted AI models, meeting notes, or team collaboration features).

Billing and merchant of record

Subscriptions are sold and billed through Lemon Squeezy as merchant of record. Lemon Squeezy collects payment, handles applicable VAT and sales tax in your jurisdiction, and processes any refund we approve. By starting a subscription you also accept Lemon Squeezy's terms applicable to recurring transactions.

Auto-renewal

Unless we describe a subscription as one-time at checkout, every paid subscription is a recurring auto-renewing subscription. It renews at the end of each billing period (monthly or annually, whichever you chose at checkout) at the then-current price for that plan, charged to the payment method you provided, until you cancel. We disclose the renewal price, the renewal date, and the billing cadence on the checkout page and in your receipt email.

Cancellation

You can cancel at any time, with no early-termination fee, through the customer portal link in any Lemon Squeezy receipt email, or by emailing support@devxgroup.io with the email address you used to purchase. Cancellation stops the next auto-renewal but does not refund the current paid period unless a refund window (see below) applies. Your subscription features remain available through the end of the period you already paid for.

Refunds on subscriptions

Subscriptions follow the same principle as direct license purchases: all sales are final. Cancellation prevents future auto-renewals but does not refund the current paid period. Renewal charges (the second and subsequent billing periods) are not refundable except where required by applicable law. Consumers in the European Union, the European Economic Area, and the United Kingdom retain their statutory withdrawal rights for the first paid period unless they expressly waive them at checkout in exchange for immediate access; see the Refund Policy for the full rules and the limited exceptions we always honor.

Price changes

We may change subscription prices for future renewal periods. If we do, we will notify subscribers by email at least 30 days before the change takes effect. If you do not want to renew at the new price, cancel before the renewal date.

What happens if you cancel or don't renew

Your perpetual base license remains intact. The version of Transcribr Flow you originally bought continues to work on your Macs without restriction.
Update subscriptions. Major versions that were released to you while your subscription was active stay installed and fully functional. Future major versions released after your subscription lapses are not included. You can resume the subscription at a later date to regain access to new major versions.
Feature subscriptions. Subscription-only features stop working at the end of the current billing period. Any data stored locally on your Mac stays on your Mac.

Failed payments

If a renewal payment fails, Lemon Squeezy will retry the charge according to its dunning policy. If the charge cannot be collected, the subscription will be suspended and, after a grace period, cancelled. Your perpetual base license is unaffected.

Updates and major versions

Lifetime updates are included within the major version you purchased. For example, if you buy a 1.x license, every 1.x release is free. Major version upgrades (for example, moving from 1.x to 2.x) may be offered as a paid upgrade, may be discounted for existing licensees, or may be free. DevX Group LLC decides this on a per-version basis. We commit to treating existing customers fairly, but we make no binding promise that every future major version will be free.

Pricing changes

Prices for new purchases may change at any time. A price change affects only purchases made after the change goes into effect. Your existing perpetual license is not affected by future price increases.

Refunds

Because Transcribr Flow is downloadable software, all direct sales are final once the license key is delivered or the installer is downloaded. See the Refund Policy for the limited exceptions we always honor (billing errors, software that cannot run on a supported Mac, and statutory consumer rights that cannot be waived).

No warranty

TRANSCRIBR FLOW IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEVX GROUP LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU ASSUME ALL RISK FOR YOUR USE OF THE SOFTWARE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DEVX GROUP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF TRANSCRIBR FLOW, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF TRANSCRIBR FLOW WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US FOR TRANSCRIBR FLOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).

Termination

You may stop using Transcribr Flow at any time. If you want a refund, see the refund policy.

We may terminate your license and access to any services if you materially breach these terms and don't cure the breach within 30 days of written notice from us. On termination for breach, your license to use the software ends. Sections covering warranty disclaimers, limitation of liability, and governing law survive termination.

Modifications to these terms

We may update these terms from time to time. For material changes, we'll notify existing customers by email or via an in-app notice at least 14 days before the change takes effect. Continuing to use Transcribr Flow after the effective date constitutes acceptance of the updated terms. If you don't agree with a change, you can request a refund within the window described in the refund policy or stop using the software.

Governing law and disputes

These terms are governed by the laws of the State of California, USA, excluding its conflict-of-law rules. You and DevX Group LLC both agree to first attempt to resolve any dispute informally by contacting us at support@devxgroup.io and allowing 30 days for good-faith resolution. If that doesn't work, disputes will be resolved by binding arbitration in San Diego County, California, under the American Arbitration Association's commercial rules, except that either party may bring a claim in small-claims court if it qualifies. Class actions and class arbitrations are waived.
